Services Terms

Consulting, development, and training engagements · Last Revised: September 22, 2026

1. Scope

These Services Terms govern consulting, custom software development, AI system build and integration, enablement and training programs, and related managed services ("Services") provided by Alpine Consulting GTM LLC ("Alpine," "we," "us"). Access to Alpine's data products, including Real Intelligence, is governed separately by the Data License Terms below. Where a signed statement of work or engagement agreement exists, its terms control over these Services Terms to the extent of any conflict.

2. Engagement and Payment

Engagements are scoped in writing before work begins. Scoping audits and build fees are fixed as stated in the applicable statement of work. Ongoing management fees are billed monthly in advance. Custom development projects may require a deposit as specified in the individual agreement. Fees are non-refundable unless otherwise stated in writing. Third-party model, hosting, and service costs are passed through at cost unless the statement of work states otherwise.

3. Intellectual Property

Custom software, workflows, and configurations built for you become your property upon full payment. Alpine retains all rights to its underlying frameworks, platform, reusable components, connectors, templates, training materials, and know-how used in the course of the Services, and may reuse them for other clients provided no client confidential information is disclosed.

4. Client Data and Confidentiality

You retain ownership of your data. Alpine will use client data only to deliver the Services, will not use client data to train publicly available models, and will hold client confidential information in confidence. Hosted systems run on US-based infrastructure unless otherwise agreed in writing.

5. AI Output and Human Review

Systems delivered under these Services may generate output using large language models. Such output can be inaccurate. Unless the statement of work specifies otherwise, delivered systems include human review gates on consequential actions, and you are responsible for the decisions made on the basis of system output within your organisation.

6. Service Availability

We work to maintain high availability of hosted applications under a management agreement. We do not guarantee uninterrupted service and are not liable for downtime or service interruptions, including those caused by third-party model or infrastructure providers.

7. Limitation of Liability

Alpine's aggregate liability under these Services Terms is limited to the fees paid for the Services in the twelve months preceding the claim. Alpine is not liable for indirect, incidental, special, or consequential damages.

8. Termination

Either party may terminate an ongoing management agreement with 30 days written notice. Upon termination and payment of outstanding fees, you will receive your data and the application code for custom software built for you, as specified in your engagement agreement.

9. Communication Consent

By providing your contact details and engaging with Alpine through any channel, you consent to receive communications related to your inquiry or engagement. You may opt out of SMS communications at any time by replying STOP. See the SMS Messaging Policy below.

Data License Terms

Alpine Consulting GTM LLC ("Alpine," "we," "us," or "our") provides the Service (as defined below) to you subject to the following terms of use (as amended from time to time, the "Terms of Service").

By accessing or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not accept these Terms of Service, you are not authorized to access or use our Service.

Our Terms of Service may be modified from time to time. We have the right, in our sole discretion, to change or modify any Terms of Service at any time, and such changes or modifications are to be effective immediately upon posting to the Site. Please read these terms carefully to ensure you understand the Terms of Service that apply at that time. Your continued use of the Service after such posting constitutes your acceptance of the new Terms of Service. You should periodically visit this page to review the current Terms of Service so you are aware of any revisions. IF YOU DO NOT AGREE TO ABIDE BY THESE OR ANY FUTURE TERMS OF SERVICE, YOU WILL NOT ACCESS OR USE THE SERVICE.

1. Definitions

• "API" means an application programming interface or similar communication channel provided by Alpine.
• "Data" means all data, content, intelligence outputs, scores, signals, entity resolution results, ownership mappings, information, and related materials provided by Alpine to you through Alpine's Service and/or API, including CRE debt intelligence, distress scoring, maturity analysis, and contact data.
• "Personnel" means Alpine's officers, directors, members, managers, employees, agents, contractors, affiliates, and successors.
• "Service(s)" means the service or services provided by Alpine to you in relation to the use or access to the Data, including Alpine's API, AI-powered business tools or platform, data exports, reports, analysis, ratings, and related data products or services delivered by Alpine.
• "Site" means the website with domain name thealpinesystem.com or other websites, platforms, or applications operated by Alpine that reference or link to these Terms of Service.

2. License, Access, and Ownership

All Data, and all intellectual property rights therein, are and shall remain the exclusive property of Alpine. The Site and all designs, names, and logos within the Site or the Service are under common control and operated by Alpine.

Alpine hereby grants you a non-exclusive, non-transferable, revocable, and limited license to access and utilize the Service and make use of the Data in accordance with and subject to these Terms of Service. You may not resell, redistribute, sublicense, or otherwise commercially exploit the Data, including any derivative use of the Data or any use of data mining, scraping, or similar data gathering and extraction software, tools, or technology. Any unauthorized use of the Service and the Data shall result in the immediate termination of this license without notice. Notwithstanding the foregoing, Alpine may revoke your license at any time for any or no reason.

We reserve the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that we will not be liable to you for any changes, suspension, or discontinuance of the Service.

3. Your Account and Security

You are required to create an account with Alpine in order to access and use certain features of the Service. You are responsible for maintaining the confidentiality of your password and account details and are fully responsible for any and all activities that occur under your password or account. You agree to (a) immediately notify us of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session when accessing the Service. We will not be liable for any loss or damage arising from your failure to comply with this provision.

4. Permitted Use

You may only access and use the Service and the Data solely for your internal business purposes and in accordance with the applicable laws or regulations. Your use of Data shall not violate any laws, regulations, or any third party's rights.

5. Prohibited Use

Unless expressly authorized by Alpine in writing, you shall not, and shall not permit any third party to:

• use the Service and the Data in a way that is unlawful;
• copy, modify, reformat, reprocess, distribute, transmit, transfer, trade, sell or re-sell, display, reproduce, publish, sublicense, or create derivative works from the Data;
• scrape, crawl, or perform bulk extraction of Data from the Service or Site;
• build your own algorithms or make improvements based on our Service or Data;
• frame, mirror, or deep-link to any portion of the Site or the Service;
• reverse engineer, decompile, disassemble, or modify any aspect of the Service or the Data or attempt to do so;
• create and use proxy, derivative, or pass-through access to Data for the benefit of third parties;
• use in any manner in which allows access by multiple unauthorized users; and
• use automated systems or bots to access Data beyond the scope of authorized API usage.

Alpine reserves the right to suspend or terminate your access to the Service immediately without notice if we determine, in our sole discretion, that you did not comply with any part of these Terms of Service and/or any applicable law.

6. Fees

You are required to pay fees to access certain features of the Service. You will promptly update your account information with Alpine of any changes (for example, a change in your billing address) that may occur. All fees are in U.S. dollars and are non-refundable. If we change the fees for all or part of any of the Service, including by adding fees or charges, we will provide you advance notice of those changes. If you do not accept the changes, we may discontinue providing the applicable part of the Service to you. If you wish to dispute any charges, you must let Alpine know within thirty (30) days after the date that Alpine charges you, or within such longer period of time as may be required under applicable law.

The Service may include features that allow for automatically recurring payments for periodic charges ("Subscription Service"). If you decide to activate a Subscription Service, you hereby authorize us (including through any payment processor) to periodically charge, on a going-forward basis and until cancellation of either the recurring payments or your account, all accrued sums on or before the payment due date for the accrued sums, and you agree to pay any charges so incurred. The subscription will continue unless and until you cancel your subscription, or we terminate it. You must cancel your Subscription Service before it renews in order to avoid billing of the next periodic subscription fee to your account. We will bill the periodic subscription fee to the payment method you provide to us during registration (or to a different payment method if you change your payment information). We may change the subscription fee for any subsequent subscription period but will provide you advance notice of any increase before it applies. You may cancel a Subscription Service through the settings page in your account or by contacting us at help@thealpinesystem.com.

7. Disclaimer of Warranties

YOUR USE OF THE SERVICE OR THE DATA IS AT YOUR SOLE RISK. THE SERVICE AND ALL DATA, INFORMATION, CONTENT, MATERIALS INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU BY ALPINE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. ALPINE EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

ALPINE MAKES NO REPRESENTATIONS OR WARRANTIES THAT (I) THE SERVICE WILL MEET YOUR REQUIREMENTS; (II) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (III) THE DATA REMAINS ACCURATE, COMPLETE, UP-TO-DATE, RELIABLE, FIT, OR SUITABLE FOR ANY PARTICULAR PURPOSE; OR (IV) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE OR THE DATA WILL BE ACCURATE, RELIABLE, OR WILL MEET YOUR EXPECTATIONS.

NOTHING IN THE SITE, SERVICE, OR THE DATA CONSTITUTES TECHNICAL, FINANCIAL, LEGAL ADVICE OR ANY OTHER FORM OF PROFESSIONAL ADVICE AND SHOULD NOT BE RELIED ON FOR ANY PURPOSES.

ALPINE DOES NOT WARRANT THAT THE SERVICE OR THE DATA OR ANY INFORMATION, CONTENT, OR MATERIALS INCLUDED OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SERVICE, ITS SERVERS, OR ELECTRONIC MAILS SENT FROM ALPINE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALPINE DISCLAIMS AND EXCLUDES ALL LIABILITY, WHETHER DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR DAMAGES FOR LOSS OF PROFITS INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES AND WHETHER BASED ON CONTRACT, NEGLIGENCE, TORT, STRICT LIABILITY OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE OR THE DATA INCLUDING WITHOUT LIMITATION ANY AND ALL LOSSES RELATING TO OR RESULTING FROM:

• ANY INACCURACY, ERROR, OR OMISSION IN THE DATA OR ANY INFORMATION WITHIN OR RELATING TO THE SERVICE OR THE DATA;
• ANY LACK OF FITNESS OR SUITABILITY OF THE DATA;
• ANY DELAY, INTERRUPTION, OR INABILITY AT ANY TIME IN ACCESSING THE DATA OR ANY PART OF THE SITE OR SERVICE, OR THE UNAVAILABILITY OF THE DATA FOR WHATSOEVER REASON;
• ANY DECISION MADE OR ACTION TAKEN IN RELIANCE ON THE BASIS OF ANYTHING CONTAINED IN THE SERVICE OR THE DATA;
• ANY VIRUS, MALWARE, SPYWARE, OR OTHER HARMFUL COMPONENTS TRANSMITTED THROUGH THE SERVICE; AND
• ANY REPRESENTATION OR STATEMENT (WHETHER EXPRESS OR IMPLIED) MADE IN THE SITE, SERVICE, OR THE DATA.

IN NO EVENT WILL ALPINE'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES OR CAUSES OF ACTION ARISING OUT OF OR RELATED TO THESE TERMS OR TO THE SERVICES EXCEED ONE HUNDRED DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OR EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS SET FORTH ABOVE MAY NOT APPLY TO YOU OR BE ENFORCEABLE WITH RESPECT TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SERVICE OR WITH THESE TERMS OF SERVICE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE OF THE SERVICE.

IF YOU ARE A USER FROM NEW JERSEY, THE FOREGOING SECTIONS TITLED "INDEMNIFICATION," "DISCLAIMER OF WARRANTIES" AND "LIMITATION OF LIABILITY" ARE INTENDED TO BE ONLY AS BROAD AS IS PERMITTED UNDER THE LAWS OF THE STATE OF NEW JERSEY. IF ANY PORTION OF THESE SECTIONS IS HELD TO BE INVALID UNDER THE LAWS OF THE STATE OF NEW JERSEY, THE INVALIDITY OF SUCH PORTION SHALL NOT AFFECT THE VALIDITY OF THE REMAINING PORTIONS OF THE APPLICABLE SECTIONS.

9. Indemnity and Release

To the extent permitted under applicable law, you undertake to release, defend, indemnify Alpine and its Personnel fully and hold it harmless against all losses, claims, proceedings, actions, damages, costs, expenses and any other liabilities (whether direct, indirect, incidental, punitive, and consequential) which may arise out of, or in consequence of, your use of and/or access of the Site, Service and the Data, or from the use of or reliance on the Data, any information, content, materials (including API) or products and/or services included on or otherwise made available to you through the Service or in respect of any information you obtain from the Service or in consequence of your violation of any Terms of Service.

You further undertake to indemnify Alpine and its Personnel fully and hold it harmless against all losses, claims, proceedings, actions, damages, costs, expenses and any other liabilities (whether direct, indirect, incidental, punitive, and consequential) which may arise out of, or which is caused directly or indirectly by any act or omission of you, whether deliberate, accidental, negligent or reckless, in the course of the provision of the Service by Alpine to you under these Terms of Service, whether such acts or omissions amount to a breach of an express or implied obligation under these Terms of Service or a breach of any other legal requirement or obligation, code of practice, license, regulation, content, forbearance, approval, permission or rule.

The right of Alpine to be indemnified under this Agreement is in addition to, and not exclusive of, any other right, power or remedy provided by law, but Alpine is not entitled to be compensated in excess of the amount of the relevant cost, liability, loss, damage or expense incurred.

10. Governing Law and Dispute Resolution

By accessing and using the Service or the Data, you agree that these Terms of Service and any dispute arising out of or in connection with the Terms of Service shall be governed by and construed in accordance with the laws of the state of New Jersey, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms of Service, including any question regarding its terms, validity, or termination, shall be finally resolved by the state or federal courts located in the State of New Jersey, and you consent to the personal jurisdiction and venue of such courts.

11. Miscellaneous

• Severability. If any provision in these Terms of Service shall be deemed invalid, void, or for any reason unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, that provision shall be deemed severable. Any modification to or deletion of a provision shall not affect the validity and enforceability of any remaining provisions.
• Entire Agreement. These Terms of Service, together with the Data License Agreement, constitute the entire agreement between you and Alpine with respect to your use of the Service or the Data.
• Independent Parties. Nothing in these Terms of Service creates a partnership, joint venture, agency, or employment relationship between you and Alpine. The parties are independent businesses and these Terms of Service do not establish any joint venture, trust, fiduciary or other relationship between them, other than the contractual relationship expressly provided for in it. None of the parties shall have, nor shall represent that they have, any authority to make any commitments on the other party's behalf.
• No Waiver. No failure or delay by Alpine to exercise any right or remedy provided under these Terms of Service or by law shall constitute a waiver of that or any other right or remedy, nor shall it preclude or restrict the further exercise of that or any other right or remedy. No single or partial exercise of such right or remedy shall preclude or restrict the further exercise of that or any other right or remedy.
• No Third-Party Rights. These Terms of Service do not confer any rights or benefits on any third party.

Compliance requests may be submitted to compliance@thealpinesystem.com. Alpine will review requests where required by applicable law or where information is demonstrated to be factually inaccurate. General objections to the availability of Data, or demands unsupported by legal authority, do not create an obligation on Alpine to remove, modify, or restrict access to the Data.

Privacy Policy

• Service providers who assist in delivering our Services (e.g., hosting, communications infrastructure) under strict data protection agreements
• Professional advisors as required for business operations
• Law enforcement when required by applicable law

4. Mobile and SMS Data

When you provide your mobile phone number and consent to receive SMS messages from Alpine Systems, the following applies:

• Your mobile phone number is collected solely for the purpose of sending you transactional messages related to your business relationship with Alpine Systems
• Your mobile opt-in data and consent information will not be sold, rented, or shared with any third parties or affiliates for their own marketing purposes
• Message history and phone numbers are retained only as long as necessary to maintain the business relationship and comply with legal requirements
• You may revoke consent at any time by replying STOP to any message

5. Data Security

We implement industry-standard security measures to protect your data, including encryption, secure hosting on US-based infrastructure, and access controls. However, no method of transmission over the internet is 100% secure.

6. Data Retention

We retain your information for as long as necessary to provide our Services and comply with legal obligations. Upon account termination, we will delete or anonymize your data within 90 days.

7. Your Rights

You have the right to:

• Access your personal information

• Request deletion of your data
• Opt out of marketing communications

SMS Messaging Policy

1. Program Description

Alpine Systems sends SMS/text messages to clients and business contacts for transactional and operational purposes. Messages are sent by our AI executive assistant, Alec Pine, on behalf of Alpine Systems founder Andrew Phillips. Messages include appointment confirmations, meeting reminders, project updates, document delivery notifications, and follow-up communications related to active business engagements.

2. Consent and Opt-In

By providing your mobile phone number to Alpine Systems via our website contact form, email, phone conversation, or messaging platform, and by engaging in a business relationship with us, you consent to receive transactional SMS messages from Alpine Systems related to that business relationship. Consent is not required as a condition of purchasing any goods or services. Message frequency varies based on your engagement with our Services.

3. Message Frequency

Message frequency varies. You may receive up to 10 messages per month depending on the nature of your engagement. Messages are transactional (appointment reminders, project updates, follow-ups) and are not marketing or promotional in nature.

4. Opt-Out

You may opt out of SMS messages at any time by replying STOP to any message from Alpine Systems. After opting out, you will receive a single confirmation message and no further SMS messages will be sent. You may opt back in at any time by replying START or by contacting us directly.

5. Help

For help with SMS messaging, reply HELP to any message, or contact us at help@thealpinesystem.com.

6. Message and Data Rates

Message and data rates may apply. Check with your mobile carrier for details about your text messaging plan.

7. Privacy

Your mobile phone number and SMS opt-in data will not be shared with or sold to third parties or affiliates for marketing or promotional purposes. For full details, see our Privacy Policy above.

8. Supported Carriers

Messages are sent via standard SMS and are supported by all major US carriers including AT&T, T-Mobile, Verizon, and others. Alpine Systems is not responsible for delayed or undelivered messages caused by carrier issues.
