Terms of Service

1. Acceptance of Terms

By accessing and using Alpine Systems' services ("Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Services.

2. Description of Services

Alpine Systems ("Alpine," "we," "us") provides custom software development services, AI-powered business tools, intelligence products, AI training programs, and related communication services including SMS/text messaging and voice calling operated by our AI executive assistant. Our Services are designed for businesses and professionals.

3. User Responsibilities

When using our Services, you agree to:

  • Provide accurate and complete information
  • Maintain the confidentiality of your account credentials
  • Use our Services only for lawful purposes
  • Not interfere with the proper operation of our Services

4. Communication Consent

By providing your phone number and engaging with Alpine Systems through any channel (website form, email, phone, SMS, or messaging platforms), you consent to receive communications from us related to your inquiry or our business relationship. This may include SMS/text messages, phone calls, and messages from our AI assistant. You may opt out of SMS communications at any time by replying STOP. See our SMS Messaging Policy below for full details.

5. Intellectual Property

Custom software built for you becomes your property upon full payment. Alpine retains rights to underlying frameworks, blueprints, and reusable components that power our development process.

6. Payment Terms

Monthly subscription fees are billed in advance. Custom development projects may require deposits as specified in individual agreements. All fees are non-refundable unless otherwise stated.

7. Service Availability

We strive to maintain high availability of our hosted applications. However, we do not guarantee uninterrupted service and are not liable for any downtime or service interruptions.

8. Limitation of Liability

Alpine's liability is limited to the amount paid for Services in the preceding 12 months. We are not liable for indirect, incidental, or consequential damages.

9. Termination

Either party may terminate services with 30 days written notice. Upon termination, you will receive your data and application code as specified in your service agreement.

Data Terms of Use

1. Application

These Data Terms of Use ("Data Terms") govern access to and use of data ("Data") provided by Alpine Systems LLC ("Company") through its intelligence platform, API, reports, and electronic communications. By accessing Data, you agree to be bound by these Data Terms. The Company may modify these Data Terms at any time by posting the revised version on its Site. Your continued use of or access to Data after any such modification constitutes your acceptance of the revised Data Terms.

2. Definitions

  • "Applicable Law" means all applicable laws, regulations, codes, guidance, and rules issued by any governmental authority.
  • "Company" means Alpine Consulting GTM LLC, a New Jersey limited liability company. Registered Agent: New Jersey Registered Agent LLC, 971 US Highway 202N STE A, Branchburg, New Jersey 08876.
  • "Customer" means the party permitted to receive Data and Services from the Company.
  • "Data" means all data, content, intelligence outputs, scores, signals, entity resolution results, ownership mappings, and related materials provided through the Service — including CRE debt intelligence, distress scoring, maturity analysis, and contact data.
  • "Force Majeure" means any event beyond the reasonable control of the affected party, including acts of God, natural disasters, war, terrorism, pandemic, government actions, power failures, internet disruptions, or other similar events.
  • "Party" / "Parties" means the Company and/or the Customer, as applicable.
  • "Personnel" means the Company's officers, directors, members, managers, employees, agents, contractors, affiliates, successors, and assigns.
  • "Service" means the intelligence platform, API endpoints, data exports, reports, and related data products provided at thealpinesystem.com.
  • "Site" means thealpinesystem.com.

3. Ownership, Access & License

All Data, and all intellectual property rights therein, are and shall remain the exclusive property of the Company. Subject to these Data Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Data solely in accordance with these Data Terms. You may not resell, redistribute, sublicense, or otherwise commercially exploit the Data. Any unauthorized use of Data shall result in the immediate termination of this license without notice.

4. Permitted Use

You may use Data solely for your internal business purposes and subject to Applicable Law. Use of Data must not violate any law, regulation, or third-party right. Bulk data purchases or enterprise-wide distribution of Data are governed by a separate Data License Agreement, which must be executed prior to such use.

5. Prohibited Use

You shall not, and shall not permit any third party to:

  • Use the Data for any unlawful purpose or in violation of Applicable Law
  • Redistribute, resell, sublicense, publish, or otherwise make Data available to third parties
  • Scrape, crawl, or perform bulk extraction of Data from the Service or Site
  • Frame, mirror, or deep-link to any portion of the Site or Service
  • Reverse engineer, decompile, or disassemble any aspect of the Service or Data
  • Create proxy, derivative, or pass-through access to Data for the benefit of third parties
  • Use automated systems or bots to access Data beyond the scope of authorized API usage

The Company reserves the right to suspend or terminate your access immediately and without notice if it determines, in its sole discretion, that you have violated any of these prohibitions.

6. Disclaimers

Data is provided on an "as is" and "as available" basis. The Company makes no representations or warranties of any kind, express or implied, regarding the accuracy, completeness, timeliness, reliability, or fitness for a particular purpose of any Data. Data does not constitute investment advice, financial advice, legal advice, or any other form of professional advice. You assume all risk associated with your use of or reliance on Data. The Company does not endorse or assume responsibility for any third-party content, links, or services referenced in or accessible through the Data.

7. Limitation of Liability

To the fullest extent permitted by Applicable Law, the Company and its Personnel shall not be liable for any loss, damage, cost, or expense (whether direct, indirect, incidental, special, consequential, or exemplary) arising out of or in connection with:

  • Any inaccuracy, error, or omission in Data
  • Any delay or interruption in access to Data or the Service
  • Any decision made or action taken in reliance on Data
  • Any viruses, malware, or other harmful components transmitted through the Service
  • Any representations, statements, or information contained within Data

8. Warranty & Indemnification

You represent and warrant that: (a) your use of Data complies with all Applicable Law; (b) you will not use Data in any manner that is defamatory, libelous, or that infringes or violates any third-party right; and (c) you have all necessary rights, permissions, and authority to access and use Data under these Data Terms.

You hereby waive any and all claims against the Company and its Personnel arising from your access to or use of Data. You agree to indemnify, defend, and hold harmless the Company and its Personnel from and against any and all losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (i) your access to or use of Data; (ii) your breach of these Data Terms; or (iii) your violation of any Applicable Law or third-party right.

9. Governing Law & Disputes

These Data Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Data Terms shall be resolved exclusively by the state or federal courts located in the State of New Jersey, and you consent to the personal jurisdiction and venue of such courts.

10. Miscellaneous

  • Severability. If any provision of these Data Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  • Entire Agreement. These Data Terms, together with the Terms of Service and Privacy Policy, constitute the entire agreement between you and the Company with respect to your use of Data.
  • Independent Parties. Nothing in these Data Terms creates a partnership, joint venture, agency, or employment relationship between the Parties.
  • No Waiver. The Company's failure to enforce any provision of these Data Terms shall not constitute a waiver of that provision or any other provision.
  • No Third-Party Rights. These Data Terms do not confer any rights or benefits on any third party.

11. Compliance Requests

Compliance requests may be submitted to compliance@thealpinesystem.com. The Company will review requests where required by Applicable Law or where information is demonstrated to be factually inaccurate. General objections to the availability of Data, or demands unsupported by legal authority, do not create an obligation on the Company to remove, modify, or restrict access to Data.

Privacy Policy

1. Information We Collect

We collect information you provide directly, including:

  • Contact information (name, email address, phone number)
  • Business information relevant to your software or service requirements
  • Communication records, including SMS messages, phone calls, and support interactions
  • Usage data from applications we host for you

2. How We Use Your Information

We use collected information to:

  • Communicate with you about your projects, appointments, and inquiries
  • Send transactional messages such as appointment confirmations, project updates, and service notifications via SMS, email, or other channels
  • Respond to your inquiries and support requests

3. Information Sharing and Third Parties

We do not sell, share, or disclose your personal information — including your mobile phone number and any data collected as part of SMS or text message opt-in — to third parties or affiliates for marketing or promotional purposes. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes.

We may share information only with:

  • Service providers who assist in delivering our Services (e.g., hosting, communications infrastructure) under strict data protection agreements
  • Professional advisors as required for business operations
  • Law enforcement when required by applicable law

4. Mobile and SMS Data

When you provide your mobile phone number and consent to receive SMS messages from Alpine Systems, the following applies:

  • Your mobile phone number is collected solely for the purpose of sending you transactional messages related to your business relationship with Alpine Systems
  • Your mobile opt-in data and consent information will not be sold, rented, or shared with any third parties or affiliates for their own marketing purposes
  • Message history and phone numbers are retained only as long as necessary to maintain the business relationship and comply with legal requirements
  • You may revoke consent at any time by replying STOP to any message

5. Data Security

We implement industry-standard security measures to protect your data, including encryption, secure hosting on US-based infrastructure, and access controls. However, no method of transmission over the internet is 100% secure.

6. Data Retention

We retain your information for as long as necessary to provide our Services and comply with legal obligations. Upon account termination, we will delete or anonymize your data within 90 days.

7. Your Rights

You have the right to:

  • Access your personal information
  • Correct inaccurate data
  • Request deletion of your data
  • Opt out of marketing communications
  • Opt out of SMS messaging at any time by replying STOP

SMS Messaging Policy

1. Program Description

Alpine Systems sends SMS/text messages to clients and business contacts for transactional and operational purposes. Messages are sent by our AI executive assistant, Alec Pine, on behalf of Alpine Systems founder Andrew Phillips. Messages include appointment confirmations, meeting reminders, project updates, document delivery notifications, and follow-up communications related to active business engagements.

2. Consent and Opt-In

By providing your mobile phone number to Alpine Systems via our website contact form, email, phone conversation, or messaging platform, and by engaging in a business relationship with us, you consent to receive transactional SMS messages from Alpine Systems related to that business relationship. Consent is not required as a condition of purchasing any goods or services. Message frequency varies based on your engagement with our Services.

3. Message Frequency

Message frequency varies. You may receive up to 10 messages per month depending on the nature of your engagement. Messages are transactional (appointment reminders, project updates, follow-ups) and are not marketing or promotional in nature.

4. Opt-Out

You may opt out of SMS messages at any time by replying STOP to any message from Alpine Systems. After opting out, you will receive a single confirmation message and no further SMS messages will be sent. You may opt back in at any time by replying START or by contacting us directly.

5. Help

For help with SMS messaging, reply HELP to any message, or contact us at help@thealpinesystem.com.

6. Message and Data Rates

Message and data rates may apply. Check with your mobile carrier for details about your text messaging plan.

7. Privacy

Your mobile phone number and SMS opt-in data will not be shared with or sold to third parties or affiliates for marketing or promotional purposes. For full details, see our Privacy Policy above.

8. Supported Carriers

Messages are sent via standard SMS and are supported by all major US carriers including AT&T, T-Mobile, Verizon, and others. Alpine Systems is not responsible for delayed or undelivered messages caused by carrier issues.
